ADLINK Technology, Inc. announced the acquisition of Ampro Computer, Inc. The combination of ADLINK and Ampro creates a company with the ability to offer enhanced design, research and development (R&D), and manufacturing for its embedded computing product offering.
ADLINK’s decision to acquire Ampro is based on Ampro's expertise in design, R&D and manufacturing in embedded computing, especially in rugged markets. The acquisition will also allow the consolidation of Ampro’s U.S. sales channels, customer services and logistic center with ADLINK’s U.S. sales of embedded computing products. With ADLINK's concentration on embedded computing products, Ampro will be able to broaden its focus into other potential end-application markets and enhance synergy between original design manufacturers (ODMs) and its marketing services.
With this announcement, ADLINK will acquire a total of 39,743,137 common shares in Ampro, representing 100 percent of Ampro's shareholding, with a total investment amount of 20 million dollars. ADLINK International, a 100 percent holding subsidiary of ADLINK, and the shareholders of Ampro have today executed the relevant Share Purchase Agreements, and the closing is expected to take place upon the completion of specified conditions.
